1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and MAAS LOGISTICS SARL ("MAAS LOGISTICS," "we," "us," or "our"), a logistics company registered in the Republic of Djibouti. By using our services, website, or entering into any agreement with us, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

2. Services Provided

MAAS LOGISTICS provides comprehensive multimodal logistics and freight forwarding services, including but not limited to:

  • Air freight forwarding and cargo handling
  • Sea freight (FCL and LCL shipments)
  • Road transport and trucking services
  • Rail freight coordination
  • Warehousing and distribution services
  • Customs brokerage and clearance
  • Cargo insurance coordination
  • Supply chain consulting and logistics solutions

3. Client Responsibilities

3.1 Accurate Information

You agree to provide accurate, complete, and timely information regarding shipments, including cargo descriptions, weights, dimensions, values, and all necessary documentation. You are responsible for any delays, fines, or penalties resulting from inaccurate or incomplete information.

3.2 Compliance with Laws

You agree to comply with all applicable international, national, and local laws, including export/import regulations, customs laws, sanctions, and trade restrictions. You warrant that your shipments do not contain prohibited or restricted items.

3.3 Cargo Packaging

You are responsible for ensuring that cargo is properly packaged, labeled, and secured for transport. MAAS LOGISTICS is not liable for damage resulting from inadequate packaging.

4. Quotations and Pricing

All quotations are valid for 30 days unless otherwise specified. Prices are subject to change based on currency fluctuations, fuel surcharges, carrier rate changes, and other factors beyond our control. Final invoices may include additional charges for services such as storage, demurrage, detention, special handling, or customs duties.

5. Payment Terms

  • Payment terms are specified in individual service agreements or invoices
  • Standard payment terms are net 30 days from the invoice date unless otherwise agreed
  • Late payments may incur interest charges at a rate of 2% per month or the maximum allowed by law
  • We reserve the right to hold shipments or withhold services for overdue accounts
  • All payments must be made in USD or other agreed currency

6. Liability and Limitations

6.1 Standard of Care

MAAS LOGISTICS acts as a freight forwarder and logistics intermediary. We exercise reasonable care in selecting carriers and service providers but do not assume liability for their acts or omissions.

6.2 Limitation of Liability

Unless otherwise agreed in writing or required by applicable law, our liability is limited to:

  • The lesser of (a) the actual value of the goods, (b) the declared value, or (c) USD $100 per package or shipment
  • We are not liable for indirect, consequential, or special damages, including lost profits
  • Carrier liability is governed by international conventions (Warsaw Convention for air, Hague-Visby Rules for sea, CMR for road)

6.3 Cargo Insurance

Cargo insurance is recommended and can be arranged upon request. Without insurance, carrier liability limitations apply. We are not liable for uninsured losses.

6.4 Force Majeure

We are not liable for delays or failures due to force majeure events, including natural disasters, war, terrorism, strikes, government actions, pandemics, or other circumstances beyond our reasonable control.

7. Claims and Time Limits

  • All claims for loss or damage must be made in writing within 7 days of delivery (or expected delivery date)
  • Legal action must be commenced within 9 months of the date of shipment
  • Claims must be supported by proper documentation, including invoices, packing lists, and photos
  • Failure to comply with these time limits will result in waiver of claims

8. Customs and Regulatory Compliance

When acting as customs broker, we act solely as your agent. You are responsible for providing accurate customs documentation, proper classification of goods, and payment of all duties, taxes, and fees. We are not liable for customs penalties, seizures, or delays resulting from improper documentation or declarations.

9. Warehousing and Storage

Free storage periods are specified in service agreements. After the free period, storage charges apply daily. We reserve the right to move cargo to alternative storage facilities. Cargo left beyond 90 days may be sold or disposed of to recover costs, after reasonable notice to the client.

10. Lien Rights

We have a general lien on all goods and documents in our possession for all amounts owed by you, regardless of whether the amounts relate to the specific shipment. We may exercise this lien by holding, selling, or disposing of the goods to satisfy outstanding debts.

11. Confidentiality

We treat your business information as confidential, subject to disclosure requirements imposed by law, regulation, or legal process. Our Privacy Policy governs the collection and use of personal data.

12. Intellectual Property

All content on our website, including logos, trademarks, text, graphics, and software, is the property of MAAS LOGISTICS or our licensors and is protected by intellectual property laws. You may not use, copy, or distribute our content without written permission.

13. Termination

Either party may terminate ongoing service agreements with 30 days' written notice. We reserve the right to terminate services immediately for non-payment, breach of terms, or illegal activities. Termination does not affect obligations for services already rendered.

14. Indemnification

You agree to indemnify and hold harmless MAAS LOGISTICS, its officers, employees, and agents from any claims, damages, liabilities, or expenses arising from your breach of these Terms, violation of laws, or misrepresentation of cargo information.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Djibouti. Any disputes will be resolved through:

  1. Negotiation: Good faith negotiations between the parties
  2. Arbitration: If negotiation fails, binding arbitration in Djibouti under the rules of the Djibouti Chamber of Commerce, with proceedings in French or English
  3. Jurisdiction: Exclusive jurisdiction of the courts of Djibouti for matters not subject to arbitration

16. Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of modified Terms. For material changes, we will provide reasonable notice.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with any service agreements, quotations, and our Privacy Policy, constitute the entire agreement between you and MAAS LOGISTICS regarding our services.
